These Terms and Conditions ("Terms," "Agreement") govern your access to and use of our platform, including our website at https://www.xpertto.com, any associated mobile applications, and all services, features, and content provided by Xpertto ("we," "us," "our").

A. Introduction & Acceptance of Terms

These Terms constitute a legally binding agreement between you and Xpertto. They apply to your use of:

  • Any services, features, and content made available on or through this website or our mobile platform.

This Agreement also incorporates by reference:

  • Our Privacy Policy (which details how we collect, use, and protect your data).
  • Our Refund Policy (which provides specific details on cancellation timelines and refund eligibility).
  • Any additional terms, guidelines, or rules we may publish from time to time on specific services or features.

By accessing, Browse, registering for an account, or using any part of the Xpertto platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you may not access or use the Xpertto platform.

B. Eligibility & Legal Capacity

By using Xpertto, you represent and warrant that:

  1. Legal Authority: You have the full legal capacity and authority to enter into this Agreement, either on your own behalf or on behalf of any organization or entity for which you are acting.
  2. Compliance: You will comply with all applicable laws and regulations in your use of the platform.

1. Services Overview & Platform Scope

Xpertto provides an online marketplace that enables Users to:

  • Browse and discover profiles of independent professional Mentors across diverse categories such as law, health, finance, career counseling, technology, and more.
  • View Mentor availability and choose suitable time slots for video consultations.
  • Book and attend one-on-one video consultations with selected Mentors.
  • Facilitate secure payments for consultation services.

Crucial Distinction:

Xpertto operates solely as a technology platform and an intermediary.

  • Xpertto does not employ any Mentors. Mentors are independent contractors, self-employed professionals, or representatives of their own entities.
  • Xpertto does not provide direct professional services, advice, or consultations. We do not offer medical, legal, financial, or any other professional advice. Any information or advice exchanged during a consultation is solely between the User and the Mentor.
  • Our role is limited to connecting Users with Mentors and providing the technological infrastructure for their interactions.

2. Account Creation & Maintenance

To access booking and consultation management features on Xpertto, you must register for an account. When creating your account:

  • Accurate Information: You agree to provide true, accurate, current, and complete information as prompted by the registration form, including a valid email address and/or phone number.
  • Account Confidentiality: You are solely responsible for maintaining the confidentiality of your account login credentials (username and password). You must not share your account details with any third party.
  • Account Activity: You are entirely responsible for all activities that occur under your account, whether or not you authorized such activity. You agree to notify Xpertto immediately of any unauthorized use of your account or any other breach of security. Xpertto will not be liable for any loss or damage arising from your failure to comply with this section.

3. Booking, Payment, and Session Logistics

3.1 Booking Process

  • Users can browse Mentor profiles, review their expertise, availability, and consultation fees.
  • By selecting a time slot and proceeding with booking, you agree to the stated fee for that specific consultation.

3.2 Payment Terms

  • All payments for consultations are processed securely through integrated payment gateways supporting UPI, credit/debit cards, and digital wallets.
  • 100% advance payment is required to confirm a booking. The session will not be confirmed until full payment is received.
  • Xpertto collects the consultation fee from the User and holds it in escrow. The fee is then released to the Mentor only after the successful completion of the session.
  • You will receive a booking confirmation via email and/or WhatsApp upon successful payment.

3.3 Session Conduct

  • Users are responsible for ensuring they have a stable internet connection, suitable device, and a private environment for the video consultation.
  • Mentors have the right to terminate a session if the User's conduct is disruptive, inappropriate, or if technical issues prevent effective communication.

4. Mentor Responsibilities & Disclaimers

Mentors on the Xpertto platform:

  • Are independent professionals, sole practitioners, or representatives of independent firms.
  • Are solely responsible for the quality, accuracy, legality, and ethical conduct of their consultations and any advice or information provided during a session.
  • Are not employees, agents, partners, or legal representatives of Xpertto. Xpertto does not control and is not responsible for the actions or inactions of any Mentor.
  • Are required to hold any necessary licenses, certifications, or qualifications for their respective professions as per applicable laws. While Xpertto endeavors to verify Mentor credentials, it is the User's responsibility to conduct their own due diligence as needed.

Important Disclaimer on Advice:

Xpertto explicitly disclaims any responsibility for the professional advice, outcomes, or results of any consultation. The information provided by Mentors is not a substitute for in-person professional consultation where necessary, especially in medical, legal, or financial matters. Users should always consult with qualified professionals for specific, personalized advice and should not disregard professional advice or delay seeking it because of information obtained through Xpertto.

5. User Conduct & Prohibited Activities

As a User of Xpertto, you agree to:

  • Professionalism & Respect: Maintain a respectful, professional, and courteous demeanor in all interactions with Mentors and Xpertto staff.
  • Lawful Use: Use the platform only for lawful purposes and in a manner that does not infringe upon the rights of others or restrict their use and enjoyment of the platform.
  • No Recording: Not record, screenshot, reproduce, or redistribute any part of a consultation session (audio or video) without the express prior written consent of both the Mentor and Xpertto.
  • No Off-Platform Solicitation: Not solicit or attempt to engage Mentors for services outside of the Xpertto platform, whether during or after a consultation. This includes sharing direct contact information for off-platform engagements.
  • Accurate Representation: Not misrepresent your identity or purpose when using the platform.
  • System Integrity: Not interfere with or disrupt the integrity or performance of the platform or its underlying technology. This includes, but is not limited to, introducing viruses, malware, or engaging in hacking attempts.
  • No Commercial Use: Not use the platform for any unauthorized commercial purposes, including reselling services or using Mentors for market research without proper engagement and disclosure.

Consequences of Violation: Violation of these rules may lead to immediate suspension or permanent termination of your Xpertto account, forfeiture of any pending session credits, and potential legal action.

6. Cancellations, Rescheduling, and Refunds

Xpertto aims for a fair and transparent policy regarding cancellations and refunds.

6.1 User Cancellations

  • Full Refund: If a session is canceled by the User at least 12-24 hours (or as specified on the Mentor's profile) before the scheduled consultation time, a full refund will be processed according to our Refund Policy.
  • No Refund: For cancellations made less than 12-24 hours before the scheduled time, or for User "no-shows," no refund will be issued.
  • Users may have the option to reschedule a session within acceptable limits, subject to Mentor availability and Xpertto's rescheduling policy, which may vary per Mentor.

6.2 Mentor Cancellations

  • In the rare event a Mentor cancels a confirmed session, you will be offered a full refund or the option to reschedule with the same Mentor or another available Mentor, based on your preference.

6.3 Xpertto's Discretion

  • Xpertto reserves the right to process refunds on a case-by-case basis, especially in situations involving technical issues attributable to the platform, or extenuating circumstances verified by Xpertto.

7. Intellectual Property Rights

All content, features, and functionality on the Xpertto platform, including but not limited to designs, text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof (collectively, "Xpertto Content"), are the exclusive property of Xpertto Technologies Pvt. Ltd., its licensors, or other providers of such material and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

  • You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Xpertto Content without our prior written consent.
  • The Xpertto name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Xpertto Technologies Pvt. Ltd. You must not use such marks without the prior written permission of Xpertto.

8. Privacy and Data Usage

Your privacy is critically important to us. Our practices regarding the collection, use, processing, and protection of your personal data are fully detailed in our Privacy Policy.

By using Xpertto, you consent to the collection and use of your data as described in our Privacy Policy, including:

  • To facilitate your use of the platform and provide our services.
  • To personalize your experience and recommend relevant Mentors or services.
  • To process your bookings, payments, and send related notifications.
  • To notify you about platform updates, new features, and relevant offers.
  • To improve our services and troubleshoot issues.

We are committed to protecting your personal data and do not sell, rent, or trade your personal information to third parties for their marketing purposes without your explicit consent.

9. Termination of Use

Xpertto reserves the right to suspend or terminate your account and access to the platform, with or without notice, at our sole discretion, including but not limited to:

  • If you violate these Terms or any incorporated policies.
  • If you misuse the platform or engage in activities that harm the integrity of the platform or its users/mentors.
  • If you engage in unethical, fraudulent, or illegal activity.
  • For security reasons or prolonged inactivity.
  • For any other reason we deem necessary to protect our platform and community.

You may also request account deletion by emailing us at support@xpertto.com. Upon termination, your right to use the Xpertto platform will immediately cease.

10. Disclaimer of Warranties

THE XPERTTO PLATFORM AND ITS SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. XPERTTO TECHNOLOGIES PVT. LTD. EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

XPERTTO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS. THE QUALITY OF ANY CONSULTATIONS OBTAINED THROUGH THE PLATFORM IS SOLELY THE RESPONSIBILITY OF THE INDEPENDENT MENTOR.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL XPERTTO TECHNOLOGIES PVT. LTD., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH:

  • YOUR USE OF OR INABILITY TO USE THE XPERTTO PLATFORM OR SERVICES.
  • THE CONDUCT OR STATEMENTS OF ANY THIRD PARTY ON THE PLATFORM, INCLUDING MENTORS.
  • ANY PROFESSIONAL ADVICE, INFORMATION, OR SERVICES OBTAINED FROM MENTORS THROUGH THE PLATFORM.
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.
  • ANY OTHER MATTER RELATING TO THE XPERTTO PLATFORM OR SERVICES.

IN NO EVENT SHALL XPERTTO'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE) EXCEED THE LESSER OF:

  • INR 10,000 (Indian Rupees Ten Thousand only); OR
  • The total amount of session fees paid by you to Xpertto for the specific consultation(s) giving rise to the claim within the six (6) months immediately preceding the date on which the claim arose.

12. Indemnification

You agree to defend, indemnify, and hold harmless Xpertto Technologies Pvt. Ltd., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or your use of the Xpertto platform.
  • Your use of any information obtained from the platform or from Mentors.
  • Your breach of any applicable law or regulation.
  • Your negligence or willful misconduct.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms and your use of the Xpertto platform shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

13.2 Dispute Resolution – Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, the Xpertto platform, or the services provided hereunder, including the breach, termination, or validity thereof, shall be exclusively and finally resolved by binding arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended.

  • Arbitration Venue: The seat and venue of arbitration shall be New Delhi, India.
  • Language: The language of the arbitration shall be English.
  • Arbitrator: There shall be a sole arbitrator, mutually appointed by the parties. If the parties fail to agree on a sole arbitrator within [e.g., 30] days, the arbitrator shall be appointed in accordance with the rules of the Arbitration and Conciliation Act, 1996.
  • Award: The arbitral award shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction.

13.3 Exception to Arbitration

Notwithstanding the above, Xpertto reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

Your continued use of the Xpertto platform after the effective date of the revised Terms constitutes your acceptance of the changes. 16. Miscellaneous

16.1 Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, and any other policies or guidelines referenced herein, constitute the entire agreement between you and Xpertto regarding your use of the platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

16.2 Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

16.3 Waiver

No waiver by Xpertto of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Xpertto to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Xpertto may assign its rights and obligations under these Terms without restriction.
